non-executive director
A director who is not an employee of the company and who only dictates part of his available time to the company. Usually a person with particular experience or skills who holds a seat on the Board to exercise a steadying influence on board decisions. His legal obligations to the company and creditors of skill and honesty are the same as those of an executive director.

non-executive director
A director who is not a full or part-time employee of the company or holder of an executive office. There is no statutory definition of a non-executive director, but such a director will usually devote part of his time to the affairs of the company as an independent adviser or supervisor.
